Venture capital has a new lender, and it isn't a bank. Over the past year, the companies selling AI labs their GPUs have started taking equity stakes instead of — or alongside — cash payment for that hardware, tying the size of the investment directly to how much compute the buyer commits to deploy. AMD's July 22, 2026 deal with Anthropic is the clearest recent example, and it's part of a pattern that now includes Nvidia, OpenAI, and a growing list of AI infrastructure buyers who are financing their build-outs through their suppliers rather than through traditional venture rounds or bank debt.

What actually changed in 2026

AMD and Anthropic announced a strategic supply-and-investment partnership on July 22: AMD committed up to $5 billion in equity to Anthropic, paired with a multi-year agreement for Anthropic to deploy up to 2 gigawatts of AMD's Instinct MI450 GPUs through AMD's Helios rack-scale systems. The first gigawatt begins deployment in the first half of 2027. The structure matters more than the headline number — this isn't AMD writing Anthropic a check and hoping for chip orders later; it's an equity stake explicitly sized to and vested against real deployed hardware.

AMD ran a similar playbook with OpenAI earlier: a warrant for up to 160 million AMD shares at a strike price of one cent each, which would give OpenAI up to roughly a 10% stake in AMD, tied to OpenAI deploying 6 gigawatts of AMD-based infrastructure. OpenAI gets warrants that are essentially worthless unless it hits the deployment milestones; AMD gets a guaranteed anchor customer for gigawatts of chip capacity it would otherwise have to sell into a more competitive, less certain market.

Nvidia's pivot from milestone IOU to real equity

Nvidia's relationship with OpenAI shows how quickly this financing model is being renegotiated in real time. The original September 2025 announcement was a $100 billion letter of intent — conditional, disbursed "up to" that amount as each gigawatt of Nvidia systems was deployed, with no binding guarantee. By February 2026, that structure had collapsed into something smaller but firmer: a direct $30 billion equity stake as part of a $110 billion funding round also including Amazon ($50 billion) and SoftBank ($30 billion), paired with binding commitments for 3 gigawatts of dedicated inference capacity and 2 gigawatts of training compute on Nvidia's Vera Rubin systems. The shift was from a large, conditional, milestone-gated promise to a smaller but unconditional equity check backed by contractual hardware purchase obligations — a materially different risk profile for both sides.

Nvidia has also stepped further into direct financing: a reported $250 billion guarantee tied to OpenAI's Ohio data center campus, structured after debt markets balked at underwriting that scale of AI infrastructure spend without a chip-supplier backstop. That detail is the tell. Traditional lenders are not yet comfortable financing gigawatt-scale AI data centers on their own merits — so the companies with the most to gain from those data centers getting built are stepping in as guarantor, investor, and hardware vendor simultaneously.

Why chip suppliers are doing this

The logic is straightforward from the supplier's side: an equity stake tied to deployment milestones locks in a customer's future chip orders more reliably than a purchase order, which can be cancelled or renegotiated. It also lets AMD and Nvidia participate in the upside if the AI lab they're supplying succeeds, rather than capturing only the hardware margin. Critics have already flagged the obvious circularity risk in these structures — a chip supplier's investment can end up funding the very purchases that generate the supplier's revenue, inflating both sides of the transaction on paper. That concern is real, but the more immediate shift for anyone tracking AI infrastructure funding is structural: these deals are increasingly replacing, not supplementing, the traditional Series-stage venture round or syndicated bank loan as the financing mechanism of choice for gigawatt-scale compute commitments.

What this means for AI labs' cap tables — and the rest of venture capital

For AI labs, vendor equity deals offer compute without diluting through a conventional priced round at a moment when valuations are already stretched and traditional investors are wary of writing checks that size. The tradeoff is concentration risk: a lab that finances its infrastructure through its two largest chip suppliers has handed both of them a seat at the table with real financial interest in its trajectory, not just a customer relationship. For the wider venture market, the structural innovation is worth watching outside AI too — any startup with one or two suppliers who both need the startup to succeed and have balance sheets large enough to write nine-figure checks is now a plausible candidate for the same playbook.

What to actually watch

Treat headline deal sizes with real skepticism — "up to $5 billion" and "up to 160 million shares" are both explicitly conditional on deployment milestones that haven't happened yet, and the gap between announced ceiling and actually-disbursed capital has already proven large in the Nvidia-OpenAI case. The more informative disclosure is the gigawatt deployment schedule attached to each deal, since that's the number the equity is actually indexed to. And watch whether this financing pattern spreads beyond the Nvidia/AMD/OpenAI/Anthropic cluster — the first startup outside frontier AI labs to negotiate vendor equity from a key supplier, rather than the reverse, will be the signal that this has become a standard instrument rather than a one-off arrangement specific to the compute shortage.
